About the Position: We are seeking a corporate attorney with experience representing clients in mergers and acquisitions, private equity investments, debt financings, licensing transactions, commercial contracts and general corporate governance matters. Securities law background and experience is a plus. Typical Responsibilities:... Review, draft, and negotiate commercial contracts, including equity and asset purchase agreements, shareholder, partnership and operating agreements, loan agreements, license agreements, financing agreements, service agreements, non-disclosure agreements and restrictive covenant agreements. Provide advice to clients regarding contract terms and legal implications on business operations and transactions. Research legal issues relating to a wide variety of business transactional issues and provide analysis within the client’s budget and time constraints. Assist in due diligence for mergers, acquisitions, and dispositions. Manage high client volume and workload responsibility. The landscape of old shopping centers is changing.
